written resolution
A private company can pass resolutions without holding meetings by having the text of the resolution signed and approved by all those entitled to attend such meetings and vote on the resolution. All such resolutions must be filed at the Companies Registry and sent to the auditors. A set of identical documents can be used to collect the signatures of all shareholders. (Section 381A Companies Act 1985).
