A company not required under Section 13(a) or 15(d) of the Exchange Act to file periodic reports but nevertheless files such reports. For example, a company that issues debt in a private placement may be required by the purchasers of the debt securities to file Exchange Act reports with the SEC, even though the company would not be otherwise required to do so to ensure that sufficient information about the company is publicly available.
