Uniform Trade Secrets Act (UTSA)

A model law drafted by the National Conference of Commissioners on Uniform State Laws that codifies the basic principles of common law trade secret protection. The UTSA (in modified or unmodified form) has been enacted by 46 states (the exceptions are Massachusetts, New York, New Jersey and Texas), the District of Columbia and the US Virgin Islands. Among other things, the UTSA:
• Defines the types of information eligible for trade secret protection.
• Sets out a private cause of action for trade secret misappropriation.
• Provides remedies for misappropriation, including injunctions, damages and, in certain cases, attorneys' fees.
