cash tender offer
A procedure used in the US and other jurisdictions to implement a cash offer for the shares of a public company as an alternative to an offer at a fixed price. Shareholders are invited to state a price for which they would be prepared to sell their shares to the bidding company. If a sufficient number of shareholders offer their shares at a price which is acceptable to the bidder and would give him control of the target, the bidder will pay a price (the strike price) which is sufficient for the bidder to ensure control, the same price being paid to all shareholders who have offered their shares at or below the strike price.
