A boilerplate clause that seeks to prevent parties from being liable for statements or representations that have not been made part of the written agreement.1. ENTIRE AGREEMENT (LONG FORM)1.1 This agreement [and any documents [referred to in it OR annexed to it and initialled by the parties]] constitute[s] the whole agreement between the parties and supersede[s] any previous arrangement, understanding or agreement between them relating to the subject matter of this agreement.1.2 Each party acknowledges that, in entering into this agreement [and the documents [referred to in it OR annexed to it]], it does not rely on any statement, representation, assurance or warranty of any person (whether a party to this agreement or not) other than as expressly set out in this agreement [or those documents].1.3 [Each party agrees and undertakes to the other parties that the only rights and remedies available to it arising out of or in connection with this agreement or its subject matter shall be for breach of contract[, in accordance with the provisions of this agreement].]1.4 Nothing in this clause shall limit or exclude any liability for fraud.2.
