Under section 741 of the Companies Act 1985, a person in accordance with whose directions or instructions the directors of the company are accustomed to act. He must do more than act in a professional capacity.

shadow director
A person in accordance with whose directions or instructions the directors of a company are accustomed to act (section 251, Companies Act 2006; section 251, Insolvency Act 1986; section 22(5), Company Directors Disqualification Act 1986) (CDDA)). Provisions of these Acts specifically apply to shadow directors; for example, section 214 of the Insolvency Act 1986 (wrongful trading), sections 197 to 214 of the Companies Act 2006 (requirement of members' approval for loans and so on to directors and persons connected with them) and sections 6 to 9 of the CDDA (disqualification of directors for unfitness).
