Usually used to qualify a document where a settlement offer or concession is made for negotiating purposes in a dispute; it prevents the recipient disclosing the concession if legal proceedings follow.

When any negotiations for settlement are reduced to writing they should be marked "without prejudice", otherwise they are subject to disclosure and can be referred to in court. The purpose of the "without prejudice" rule is to protect a party from being embarrassed by any admission made purely in an attempt to achieve a settlement. The inclusion of the words "without prejudice" will not necessarily protect the communication from disclosure in the absence of consent by the other party: it is always a question of substance, not form.Related links
