nominating committee, Also known as the nominating and corporate governance committee, the nominations committee or the nominating/corporate governance committee, in a publicly-held company, this committee is an operating committee of the company's board of directors.
A nominating committee of a publicly traded company in the US is composed of independent and outside directors referred to as non-executive directors. The duties of a nominating committee are typically outlined in a committee charter, often available on the company's website, and relate to selecting director nominees and approving the company's corporate governance policies, procedures and guidelines.
