(limited partnerships) a document indicating that a limited partnership has registered. The Registrar of Companies is required to keep a register and index of all limited partnerships and of all statements registered in relation to them. If a limited partnership is not registered, it is deemed to be a general partnership. The point is that general partners are personally liable for the debts of the firm, whereas limited partners are liable only to the extent of their stake, hence the desirability of publishing (by means of registration) that a particular partnership is a limited one.
