A term applied to provisions, often of a standard nature, and common to most documents which do not relate to the substantive parts of the contract but are necessary to make it work and regulate the operation of the contract. Example clauses would include definitions, commencement and termination, service of notices, disputes and conflicts of law.+ boilerplateUSAA term referring to standard contract provisions which are common to most agreements and usually located in the "Miscellaneous" section. These provisions are non-controversial and do not relate to the substantive parts of the agreement, but are necessary for the effective enforcement of each party's rights thereunder. Example clauses would include interpretation, amendments, notices, governing law, waiver of jury trial, entire agreement, headings and counterparts.

n., adj. slang for provisions in a contract, form or legal pleading which are apparently routine and often preprinted. The term comes from an old method of printing. Today "boilerplate" is commonly stored in computer memory to be retrieved and copied when needed. A layperson should beware that the party supplying the boilerplate form usually has developed supposedly "standard" terms (some of which may not apply to every situation) to favor and/or protect the provider.
